Transparency declaration requirements

Article 14 of the Company's articles of association require that any person, acting alone or concert with others, who holds or comes to hold in excess of five per cent (5.00%), one third (33.33%), two thirds (66.66%), or any multiple of five per cent of the Company's outstanding shares or voting rights, notifies the Company of the aggregate number of shares and corresponding voting rights he holds as well as, if applicable, the number of instruments giving shares in the Company's share capital in a deferred way together with the corresponding voting rights, if any.

This duty of notification equally applies whether that person comes to hold in excess of, or disposes of, such financial instruments as soon as one or several of the above-mentioned reporting thresholds are reached.

This duty of notification also applies to any legal person who, while holding a minimum of five per cent (5.00%) of the Company's outstanding shares or voting rights, changes their controlling interest from themselves to another person. In this case, the notification shall provide the identity of the natural or legal person or persons who or which have gained control of the legal person holding the interest in the Company's shares or voting rights, the term controlling interest being used here to mean as provided by article 233-3 of the French Commerce code.
