Global Graphics is collaborating with the Destiny Technology Corporation of Taiwan to integrate Global Graphics’ XPS RIP into Destiny’s proprietary embedded controllers, adding support for Microsoft’s new XML Paper Specification (XPS). The agreement expands upon the technology partnership that already exists between the two companies whereby Destiny licenses Global Graphics’ PostScript® and PDF technology as part of its embedded platform to Independent Hardware Vendors (IHVs). The addition of Global Graphics’ XPS RIP to this platform will shorten product development cycles for IHVs who wish to add support for the XPS document format into their ranges of copiers, printers and multi-function peripherals to support Microsoft’s Vista™, the next version of the Windows operating system scheduled for availability at the end of 2006.

Le Groupe amortit les actifs intangibles (intangible assets) et, jusqu’au 1er janvier 2002, les survaleurs (unallocated goodwill) dégagés lors des acquisitions, de manière rapide, sur des durées comprises entre 3 et 5 ans pour l’essentiel, ce qui conduit le Groupe à reconnaître des charges d’amortissement importantes dans chacun des trimestres clos depuis la réalisation de ces acquisitions. Les commentaires qui sont faits ci-après sur la rentabilité du Groupe excluent l’effet de ces amortissements sur les résultats indiqués.
L’EBITA doit ainsi s’entendre comme le résultat opérationnel avant charges financières, impôt sur les sociétés et dotations aux amortissements des actifs intangibles et des survaleurs. L’EBITDA est égal à l’EBITA duquel ont été déduites les charges d’amortissement relatives aux actifs immobilisés hors actifs intangibles et survaleurs, c’est-à-dire essentiellement les immobilisations corporelles.
Le résultat net courant par action (current net income or loss) est un résultat pro forma obtenu en ajoutant au résultat net de la période (bénéfice ou perte) les dotations aux amortissements des actifs intangibles et, en 2001, des survaleurs dégagés lors des acquisitions, en tenant compte, le cas échéant, des effets d’impôt différé sur ces montants, ainsi que les charges non récurrentes, et en tenant également compte des effets d’impôt différé sur ces derniers montants si nécessaire.
Les résultats par action ont été calculés selon les principes comptables applicables en la matière, c’est-à-dire un résultat par action obtenu en divisant le résultat net de la période considérée par le nombre moyen d’actions émises par le Groupe au cours de la période en question, et un résultat dilué par action, obtenu en divisant le résultat net de la période considérée par l’addition au nombre moyen d’actions émises par le Groupe au nombre moyen d’options de souscription d’actions pouvant entraîner une dilution future encore susceptibles d’être exercées au cours de la période considérée. Dans le présent communiqué de presse, toute référence à un résultat par action est faite en excluant l’effet potentiellement dilutif de ces options, si elles venaient à être exercées.
En application de la règle comptable américaine SFAS No.144, Accounting for the Impairment or Disposal of Long-Lived Assets, que le Groupe est obligé d’appliquer depuis le 1er janvier 2002, et qui reprend certaines dispositions de la règle jusque là en vigueur APB Opinion No.30, Reporting the Results of Operations – Reporting the Effect of Disposal of a Segment of Business, and Extraordinary, Unusual and Infrequently Occurring Events and Transactions, les résultats afférents aux branches d’activité cédées au cours du deuxième trimestre (branche d’activité Hardware cédée pour l’essentiel le 10 mai 2002) ou au cours du premier semestre 2002 (branche d’activité Xanalys cédée le 25 janvier 2002) ont été comptabilisés de manière distincte des résultats générés par les activités qui se poursuivent (results from continuing activities), essentiellement constituées de l’ancienne branche d’activité Software.
Ainsi que l’exige le texte précité, et afin de fournir une base de comparaison pertinente au lecteur, le bilan consolidé au 31 décembre 2001, les comptes de résultats consolidés pour les deuxième trimestre et premier semestre 2001, ainsi que le tableau de financement consolidé pour l’année 2001 ont également été retraités de cette manière. L’ensemble de ces retraitements n’a fait l’objet ni d’un audit ni d’un examen limité par les commissaires aux comptes du Groupe.
COMMENTAIRES SUR LES RESULTATS DU DEUXIEME TRIMESTRE 2002
Activités poursuivies (Continuing operations )
Le chiffre d’affaires consolidé de ces activités (c’est-à-dire celui de l’ancienne branche d’activité Software) s’est élevé à environ 5,6 millions d’euros au deuxième trimestre 2002, en repli de 13.5% par rapport au chiffre réalisé au cours du deuxième trimestre de l’année 2001 (environ 6,4 millions d’euros) et pratiquement au même niveau que le chiffre d’affaires réalisé au premier trimestre de cette année, où le chiffre d’affaires consolidé était proche de 5,7 millions d’euros.
L’EBITA est légèrement au-dessus de 1,1 millions d’euros au deuxième trimestre 2002 et représente environ 20,5% du chiffre d’affaires consolidé de la période contre 34,0% au deuxième trimestre 2001 et 24,4% au premier trimestre 2002.
La perte nette courante par action pour ces activités se monte à 0,14 Euro par action pour ce trimestre, alors qu’elle était de 0,18 Euro par action au deuxième trimestre de l’année 2001, et de 0,11 Euro par action au premier trimestre 2002.
Des ventes plus faibles que prévues, notamment au mois de juin, aux clients traditionnels de l’industrie des arts graphiques, expliquent que le chiffre d’affaires consolidé de ce trimestre ne soit pas supérieur à celui du trimestre précédent.

The Company has been amortizing goodwill (until January 1, 2002) and purchased intangible assets at a relatively fast pace, over periods principally ranging between 3 to 5 years, resulting in significant amortization expenses in the periods following acquisitions. Comments on profitability for the Company mentioned in this press release are excluding the impact of such amortization expenses, when applicable, on reported results.
EBITA is defined as Earnings Before Interest, Tax and intangibles Amortization. EBITDA is EBITA less depreciation expenses incurred during the presented periods on long-lived assets other than purchased intangible assets, i.e. property, plant and equipment essentially.
Current net income (loss) is pro forma income (loss) computed by adding back to the reported net income (loss) amortization expenses for intangible assets, net of deferred tax when applicable, and unallocated goodwill (in 2001 only) as well as non-recurring expenses, if any, net of tax impact on such expenses.
Earnings per share (EPS) have been calculated as required by GAAP, i.e. both basic EPS computed using the weighted average number of issued shares during the periods presented, and diluted EPS, computed using in addition to the previous number of shares the average number of potentially dilutive stock options outstanding during the presented periods. Comments on EPS mentioned in this press release are only referring to basic EPS.

De vennootschap schrijft aangekochte goodwill (tot 1 januari 2002) en aangekochte immateriële vaste activa af aan een versneld tempo, doorgaans op 3 tot 5 jaar, wat aanzienlijke afschrijvingskosten genereert in de periode die volgt op acquisities. Uitspraken over de rendabiliteit van de onderneming en de divisies vermeld in deze persmededeling houden geen rekening met de impact van deze afschrijvingskosten op de resultaten. EBITA is de winst voor rente, belastingen en afschrijvingen van immateriële vaste activa. EBITDA is EBITA zonder afschrijvingen op vaste activa. De courante netto-opbrengsten worden pro forma berekend door de gerapporteerde netto-opbrengsten te vermeerderen met de afschrijvingskosten voor immateriële vaste activa en niet-toegekende goodwill (alleen in 2001), evenals eenmalige herstructureringskosten en het uitgestelde nettobelastingtegoed hierop (in voorkomend geval).
